Due Diligence, Merger and Acquisition Assistance

The purpose of due diligence is liability limitation and its essence is risk assessment. When JDC participates in a due diligence effort, we are performing a risk assessment on behalf of our clients. JDC's industry focus includes power, petrochemical, and energy.

Our objectives are the identification, quantification, and indemnification of potential liabilities for our client. Our strategic approach includes all players involved in the sale (business, financial, planning, marketing, etc.). Through this process we are reducing the uncertainty associated with the purchase or joint venture. JDC provides due diligence services such as:

Emerging Air Issues

JDC provides the regulatory and technical expertise necessary to assist companies in developing and achieving strategic goals relating to emerging air issues.  These services include evaluation of carbon emissions, strategies for energy savings, technical evaluations of process improvements and emission reduction opportunities, and analysis of alternative fuel/energy sources.  JDC’s objective is to support our clients’ business goals by effectively managing these rapidly evolving challenges.  Some of the more specific issues are described below.

Greenhouse Gases (GHG)

In many respects, GHG reduction is an environmental issue of unprecedented size and reach.  The details of how policies are implemented and how companies comply with emission reduction requirements can dramatically change the competitive balance in various markets.  The many dimensions of uncertainty surrounding climate policy (i.e., stringency, timing, burden sharing) coupled with the economic, technology and regulatory uncertainties companies routinely face make it difficult to manage GHG reductions.  JDC has the senior level regulatory and technical expertise needed to assist companies in developing and achieving strategic goals.  We understand which emission sources generate GHGs and which sources to focus on to maximize reductions.  JDC can assist clients in responding to existing regulations, determining whether or not to take voluntary actions, evaluating operational and financial impacts of future regulation and basically strategizing on the best way for your company to cope with GHG reduction requirements.  JDC’s objective is to develop information and methods to support GHG decision making for our clients.

Alternative Fuels/Carbon Neutralization

EPA reported approximately 83 percent of greenhouse gas emissions in 2005 consisted of CO2 from the combustion of fossil fuels such as coal, petroleum and natural gas.  JDC can inventory and evaluate fuel usage data for individual pieces of operating equipment, facilities or company-wide operations using SANGEA software.  JDC staff can perform or evaluate energy audits related to the use of fuel.  These types of audits can provide useful and valuable information for companies in understanding the impacts their operations have on the environment.  JDC has the technical expertise to assist companies with identifying management opportunities to develop and implement a strategic plan to reduce or neutralize CO2 and other GHG emissions.

Visibility

TCEQ has recently established the first step program related to the Visibility SIP: Best Available Retrofit Technology (BART) with a long-term goal to restore natural conditions in Class 1 areas such as Big Bend, Guadalupe Mountains Park, etc….  BART-eligible sources are required to submit modeling and engineering analyses by April 2007 for particulate matter and/or SO2/NOX.  JDC can provide assistance with CALPUFF modeling and engineering analysis to determine whether a company meets the impact exemption.  JDC has technical expertise available to develop a strategic plan to manage operations that are or may be considered capable of impacting visibility in nearby areas.

Risk Assessment
